Please carefully read these general terms and conditions ("Terms of Use" / "Terms of Service" / "Terms") before using our Platform or any of its services ("Services"). The "Sphere Verity Platform" or "Platform" is owned and run by FRAMESHIFT SOLUTION PRIVATE LIMITED, an Indian corporation, and includes our website, our mobile application, our API, and other properties. Your use of those assets is subject to and is governed by these Terms.

An agreement that is enforceable in court between you and Sphere Verity is created by these Terms. Any additional terms outlined from time to time by Sphere Verity are supplemented by these Terms, not taking their place. These Terms will take precedence over any other terms in the case of a conflict. In this document, "we" and "our" refer to Sphere Verity, while "you" and "your" refer to you, the Platform User. Sphere Verity and the User are both referred to as "Parties" and "Party," respectively.

In order to enhance your experience on our Platform and take into account changes in Applicable Law, we reserve the right to update the Platform, amend the Services, and adjust these Terms at any time. You are free to stop using our services if you object to any modification we make. Our Privacy Policy is referenced and included in these Terms.

DEFINITIONS

The following terms and expressions shall be governed by these Terms of Use, including the General Terms and Conditions, Online Services Terms and Conditions, and Prepaid Card Terms and Conditions.

"Any applicable statute, ordinance, rule, by-law, regulation, notification, guidelines, directions, directives, or orders of any government, statutory authority, board, or recognized stock exchange may be considered to be an Indian statute, ordinance, rule, by-law, regulation, notification, or directive or order.

The term "chargeback" refers to and includes the reversal of any transaction undertaken by a Service Provider's User due to, among other reasons:

Any charge or debit made on a card classified as a hot card or on the card association's warning bulletin; In the event of any alleged forgery of the User's account or card details;

Transactions are processed twice; the amount to be refunded depends on the User's/valid cardholder's denial of the transaction, an incorrect payment or additional payment, and/or any fraudulent use/misuse of the Service Provider's User's personal and financial information by any unauthorized person, as well as other factors deemed appropriate by the relevant banks, as the case may be.

"Confidential Information" also includes any business, technical, or financial information of Sphere Verity or of any of its affiliates that are related to any of the arrangements contemplated in these Terms of Use or any other document in which these Terms of Use are incorporated by reference or in which Sphere Verity has otherwise disclosed information to the User. This definition also includes Intellectual property. This information may be related to its business operations and/or finances, including but not restricted to financial and business information.

The day the User's account was registered on Sphere Verity is referred to as the "Effective Date" or the "Registration Date." The Terms of Use, Privacy Policies, Grievance Policies, and any other terms and conditions/policies available and updated from time to time on Sphere Verity are collectively referred to as "Sphere Verity Policies" and contain them.

The term "Intellectual Property" refers to all intellectual property used in connection with or in relation to the performance of these Terms of Use or the applicable Agreement, including but not limited to:

The Company is the only owner of all software, user guides, source code, programs, specifications, procedures, input techniques, data, and information utilized in connection with or related to its software.

This encompasses the "look and feel" of all of them, as well as trademarks, service marks, trade names, business names, logos, symbols, styles, color schemes, graphics, and images. Information, data, or material provided by the Company to the User in any form, whether tangible or intangible; methodologies, techniques, improvements, utility models, procedures, designs, skills, technical information, notes, experimental results, service techniques, samples, specifications for products or services, labeling specifications, software rights, and any other type of experience.

"KYC" or "Know Your Customer" refers to the legal procedure for gathering and authenticating personal information about a User before offering them Services.

The word "Services" refers to the products and services that Sphere Verity and other Service Providers make accessible to Users utilizing the Sphere Verity Platform, including but not limited to banking services, non-banking services, and other comparable products and services that are made either directly or through a Merchant.

Any banking and/or non-banking organization with which Sphere Verity has, directly or indirectly, entered into an agreement to facilitate Transactions between the such organization and its clients is referred to as a "Service Provider."

Users include all body corporates, partnerships, limited liability partnerships, and other entities that use the Sphere Verity Platform to receive Sphere Verity services.

ACCOUNT SECURITY

The user's email and cellphone number are used to identify their Sphere Verity accounts ("Account"), which are used to access Sphere Verity services. Sphere Verity advises users to pick a strong password to protect their Account. Users are advised not to write down or tell anyone their passwords. Sphere Verity and its service providers will never ask a user for their account password or for any other private information. If the User has any reason to believe that the security of his Account has been compromised, the User must immediately change the Account password and release Sphere Verity from any obligations resulting from the misuse of such User's Account.

THIRD-PARTY SITES, GOODS, AND SERVICES

References to or links to other websites or services (collectively, "Reference Sites") may be included in the services provided by Sphere Verity and/or the Site only for the convenience of the Users. Any of these Reference Sites or the information, materials, products, or services made available through them are not supported by Sphere Verity.

Any communications or transactions between a user and a reference site are strictly between the User and the reference site. All use of Reference Sites, including any information, materials, goods, or services made available thereon or through Reference Sites, is at the User's own risk.

COMMUNICATION POLICY

The User accepts this Agreement and agrees to:

When completing your request or taking care of your Account, Sphere Verity may send you transactional or non-transactional business communications through SMS, Email, or Push notifications. Even when users choose not to receive marketing emails, Sphere Verity may send them important and transactional communications.

Sphere Verity may send transactional or non-transactional business communication by SMS, email, or push notifications to satisfy the User's request or provide for your Account. A User may still get transactional and significant communications from Sphere Verity even after opting out of marketing messages. Sphere Verity will make every effort to provide alerts when using the Platform or any Services, and it will be assumed that the User has received any information provided by the Company. The owner of the website, Sphere Verity, is not obligated to confirm the sender(s) of the warning's identity. If any notification service is unavailable, the Company is in no way liable to the User.

WAIVER

Any failure or delay on Sphere Verity's part to enforce or implement any term of these Terms or associated right will not be interpreted as a waiver by Sphere Verity of that provision or right. The exercise of any one or more of Sphere Verity's rights under these Terms shall not constitute a waiver of, or bar the exercise of, any other rights or remedies provided to Sphere Verity hereunder or at law or in equity. Any waiver of a condition must be provided in writing and signed by an official representative of Sphere Verity in order to be valid.

DISCLAIMER OF WARRANTIES

For any injury, death, loss, claim, the act of God, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental, or consequential damages of any kind (including, without limitation, lost profits or lost savings), whether based in contract, tort, strict liability, or otherwise, Sphere Verity (including its officers, directors, employees, representatives, affiliates, and providers) will not be held accountable or responsible The Website may contain connections to other external third-party websites.

You understand and agree that Sphere Verity is not responsible for the information, products, or other materials found on or accessible via such third-party websites, despite the fact that Sphere Verity has no control over such websites. Additionally, Sphere Verity is not liable for providing You with access to such third-party websites. Additionally, you acknowledge and agree that Sphere Verity disclaims all responsibility and liability for any harm or loss caused or allegedly caused by your use of any content, goods, or services offered on or through any such third-party websites. Before using any such third-party websites, we advise you to carefully study their terms and conditions as they may have different terms and conditions as well as privacy policies that are not related to Sphere Verity.

Regardless of anything else stated in these Terms, Sphere Verity's total liability with respect to the Service(s), as well as that of its affiliates, officers, employees, and agents, shall not exceed the fees You paid for the applicable Service(s) that gave rise to the liability, multiplied by one (1) month. If You or Your third-party providers are partially to blame for the loss or damage, Sphere Verity's liability under or in connection with the Terms will be proportionately diminished.

INDEMNITY

You acknowledge and agree to defend Sphere Verity (and its officers, affiliates, group company, directors, agents, and employees) against any and all claims, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses of any kind, including reasonable attorneys' fees, resulting from your violation of any applicable laws or the rights of any third party or your breach of these Terms.

FORCE MAJEURE

Sphere Verity shall be excused and discharged from such performance to the extent and during the period of such force majeure event, and such non-performance shall in no way wholly amount to a breach by Sphere Verity of its obligations hereunder or incur any legal liability on Sphere Verity.

GOVERNING LAW

The Terms of Use shall be governed by the laws of India without giving effect to any principles of conflicts of laws and shall be subject to the exclusive jurisdiction of the courts of India.

CHANGES TO T&C

The terms may change at any time by Sphere Verity. You will receive an email alerting you to the transaction on the Sphere Verity website, and you will have 10 days to approve it. You will have access to the adjustments made by Sphere Verity. You are considered to have accepted the amended terms if you use the offering after the amended terms become effective or after the deadline for responding has passed.
